    2009 Annual Meeting Minutes

     

     ANNUAL MEETING MINUTES

     
    The 71st Annual Meeting of the Flint Hills Rural Electric Cooperative Association, Inc. was held at the Centre High School near Lincolnville, KS on Tuesday, March 24, 2009. The meeting was preceded by a free meal served to all in attendance. Entertainment prior to the meeting was provided by “Bob and the Boys.”
    The meeting was called to order by Gary Burton, who presided. Duane Carlson, Secretary-Treasurer, acted as secretary of the meeting. The Chairman announced that it had been determined a quorum of the membership was registered. 180 members registered and were in attendance.
    Minutes of the previous Annual Meeting held March 25, 2008 were presented for reading. It was moved and seconded to dispense with the reading of the minutes, the Notice of Annual Meeting, and the Proof of Mailing, and that the minutes of the previous Annual Membership Meeting be approved. Motion carried.

    The Chairman introduced special guests present who were: Doug Shepherd, KEC VP of Member Services, and Mike Peters, KEPCo General Counsel.

    The Chairman called upon Eldon Andres for report of Trustee Nomination, which had been proposed by the respective Nominating Committees. Mr. Andres reported the following had been nominated as candidates:
    Dist 1 - Dale Andres, Mike Asbury, Dist 2 - Gary Burton, Barbara Lerner, Dist 5 - Gus Hamm, Daniel Frantz, Dist. 6 - Dan Dalke, Graeme Glaser.

    It was announced that it had been determined that Dan Dalke was ineligible to serve as a Trustee due to the fact that he owns and operates Dalke Electric, and does wiring and sells electrical equipment to members of the community, including members of the cooperative. Article V, Section 2 of Flint Hills RECA bylaws states: “To be eligible to become or remain a trustee or to hold any position of trust in the Cooperative, a person must:….4) Not be employed by or financially interested in any enterprise in the business of selling electric energy or a competing form of energy to consumers or members or to the Cooperative or a business engaged in selling electrical or plumbing supplies, appliances or equipment or apparatus to members of the Cooperative;”

    Nominations were called for from the floor for all districts. Allen Pankratz was nominated for the District 6 position. There were no other eligible nominations submitted. After allowing sufficient time for additional nominations, the Chairman declared the nominations closed.
    The Chairman appointed the following members to act as judges and counting board for the election: Angelina Zimmerman, Patty Cosgrove, Gordon Dalke, Gary Wiens, G. Dean Miller, Richard Stahl, Fred Carlson, Mel Ratzlaff
    The Chairman instructed the membership to cast their ballots and the judges to collect and count the ballots with office staff assisting.
    Robert E. Reece, General Manager, reviewed the 2008 Annual Report and discussed additional statistical information concerning the financial position of the system at year-end.
    Bill Wessel introduced Taylor Diehl (son of Mark and Stephanie Diehl) and Donavon Campuzano (son of Anthony & Tracy Campuzano), who told of their experiences and thanked the membership for her trip last summer to the Youth Leadership Camp.
    Attorney Randy Heilman reported the election results: Those elected to serve on the Board of Trustees are Dist. 1- Dale Andres,  Dist. 2- Gary Burton, Dist. 5- Gus Hamm, and Dist. 6- Graeme Glaser.
    Attorney Randy Heilman also reported that the following Bylaw change/amendment passed.
    ARTICLE V-TRUSTEES; SECTION 3. District Representation. The area served by the Cooperative shall be divided into six geographic districts. Each district shall be represented by two trustees who shall be classified for the purpose of rotation of terms and only one trustee from each district shall be elected in a given year.
    The geographic areas for district representation on the Board of Trustees shall be numbered consecutively from one to six inclusive. The boundaries of such districts shall be established by the Board of Trustees.
    A number of prizes were awarded by drawing from the registration cards.
    There being no further business the Chairman declared the 71st Annual Membership Meeting adjourned.
